This work briefly analyzedsthe main features of the decree with the force of law dated February 14, 2016, no. 18, recently converted into law, in the light of a few theoretical observationson the governance of the co-operative firms and with particular focus on the banks. The new law does not seem to introduce any norm that could efficiently resolve some long-lasting problems affecting the co-operative credit sector: the wellknown phenomena of leadership "capturing" the consensus of the co-operative bank members and the lack of incentives for an efficient leadership change.
